1. Introduction

These Terms and Conditions ("Terms") govern your use of the services ("Services") provided by Poised IT Consultants Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office at F-15, First Floor, Block D 242, Sector 63, Noida 201301 (hereinafter referred to as “Eindhan”, “Eindhan.in” “we” , “us” or “Company”) that is obtained through the use of its website https://eindhan.in (“Website”) and through its application ("App") by the users. By using the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms and Conditions, please do not use our Services. Please read these Terms carefully before accessing or using the Services.

2. Description of Services

The Services provided by the Eindhan include locating, accessing, and paying for electric vehicle charging stations using the Company's mobile application ("App") or other platforms provided by the Company. The Company may also provide related services such as customer support and maintenance of charging infrastructure.

3. Eligibility

To avail our services you need to fulfil below mentioned criteria:

1. Your age should be 18 and above.
2. Your account shouldn't be suspended or removed by Eindhan platform earlier.
3. You are competent enough to enter in to a legal contract under the applicable laws.

4. Registration

In order to use the Services, you must register for an account through the App. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account and will be liable for all activities and transactions that occurs through your account whether initiated by you or any third party. Your account can not be transferred, sold and assigned to any other party. We shall not be responsible or liable for any unauthorized transactions incurred by you as a result of someone using your account either with or without your knowledge. If you suspect that your password has been compromised in any manner, you shall immediately inform us and change your password. We reserve the right to terminate or suspend your User Account and/or the Services at any time and for indefinite period without assigning any reason. Without prejudice to the generality of the foregoing, we reserve the right to terminate or suspend your use of the Services if we have a reason to believe that the information provided by you is incorrect or false, or that the security of your account has been compromised or for any other reason we may find just or equitable. 5. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any manner that could damage, disable, overburden, or impair the Company's servers or networks, or interfere with any other party's use and enjoyment of the Services.

We reserve the right to terminate or suspend your User Account and/or the Services at any time without assigning any reason. By using the application or the services, you further agree that:

• There will not be any misuse of the Services by you.
• You will use the app or the services for your sole use.
• You will not use any third party account other than yours without appropriate authorisation from the respective account holder.
• If we delete your account for the foregoing reasons or any non compliance as per this document, you may not be permitted to re-register for our Services.
• Upon the termination of any User Account, we reserve the right to delete from server(s) any information contained in the Mobile Application, including, but not limited to, postings, comments, bookmarks, messages, user ratings and points in account. There will be no refund to any kind on termination and you agree to waive all rights to claim or request of such refund. We reserves the right to block customers from using the App if the customer violates the terms and conditions.
• We shall not be liable to you or to any other party for any damages, losses, cost or expenses howsoever caused by or arising out of such termination or suspension.
• You are aware of or shall comply with IT act, 2000 rules, regulations and guidelines mentioned there under.
• You agree and permit Eindhan to share your information with third parties in order to facilitate certain value added services extended by the third party.
• Eindhan app would require location service from time to time in order to provide services even if the app is not in use. you can any time stop sharing the location from your mobile. It is users responsibility to stop sharing the location by switching off the GPS from mobile in case you are not using the app.

6. Intellectual Property

The Company retains all rights, title, and interest in and to the Services, including all intellectual property rights. You may not reproduce, modify, or distribute the App or any content from the App without our prior written consent. All intellectual property rights related to the Services, including but not limited to trademarks, copyrights, and patents, belong to the Company. Users must not use the Company's intellectual property without prior written consent.

7. Payment

You agree to pay all fees associated with the use of the Services as described in the App or other platforms provided by the Company. Payment may be processed through the App using a valid payment method. We have associated with Razor pay (Payment gateway) for facilitating the online payment facility.

8. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICES, REGARDLESS OF WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated herein by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

11. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Services or your violation of these Terms.

12. Refund Policy

We are committed to providing a high-quality service to our customers, and this refund policy outlines the circumstances under which we will issue refunds for charges made through the Eindhan app.

Customers are eligible for a refund in the following circumstances:

1. Discrepancy on the services availed versus actually charged.
2. Differential of amount shown on app post charging as compare to actual one.

Eindhan may adjust the disputed amount and shall be credited to the customer's eindhan wallet.

To request a refund, please contact Eindhan customer service team by emailing to support@eindhan.in along with your details, include your name, email address, phone number, and a detailed description of the issue that you experienced. Our customer service team will review your request and determine whether a refund is warranted.

If your refund request is approved, the refund will be processed within 3 business days. The refund will be credited back to your Eindhan account, or refunded to the payment method that was used to make the original charge.

13. Arbitration

Any dispute arising out of or relating to this Agreement, or the breach thereof, whether occurring while this Agreement is in effect or thereafter, shall be submitted exclusively to binding arbitration conducted in accordance with the provisions of the (Indian) Arbitration and Conciliation Act, 1996. The arbitration proceedings shall take place at Noida, India and in the English language.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. The parties consent to the exclusive jurisdiction and venue of the courts in the city of Noida, India.

15. Changes to Terms

The Company reserves the right to modify or amend these Terms at any time. All changes will be effective immediately upon posting to the App or other platforms provided by the Company. Your continued use of the Services after the posting of any changes constitutes acceptance of those changes.

16. Termination

The Company may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice.
